Adebimpe is a Senior Associate in the Firm’s Finance, Energy and Projects practice.
She holds a Bachelor of Laws (LL.B) from the Lagos State University and is licensed to practice in Nigeria. Prior to joining Templars, she was a key associate in the Energy and Project Finance practice of a multinational law firm with operations in Nigeria and over 80 jurisdictions worldwide.
Her practice spans the upstream, midstream, and downstream sectors of the oil and gas industry, where she provides strategic counsel on complex regulatory frameworks, corporate and transaction structuring, divestments, and international and domestic mergers and acquisitions.
Adebimpe also has hands-on experience in merger control and antitrust matters within the oil and gas industry and has developed strong expertise in legal due diligence. She plays a pivotal role across the transaction lifecycle, from structuring to completion, contributing to the efficient execution of projects and commercial transactions.
She is a member of the Nigerian Bar Association’s Section on Business Law (NBA-SBL), a member of the Nigerian Gas Association, and a regular facilitator for the Quarterly Learning Solutions Training organized by the Nigerian Gas Association
A Selection of Relevant Experience:
- Advising TotalEnergies SE and its Nigerian affiliate, TotalEnergies EP Nigeria Limited (TEPNG) on the divestment of its 10% participating interest in certain oil mining leases within the Renaissance Africa Energy Company Limited / Nigerian National Petroleum Company Limited JV (RAEC/NNPC JV), and the retention of the economic interests in 3 of the OMLs, setting a new precedent in the Nigerian petroleum sector.
- Advised ExxonMobil on its full-fledged equity divestment in Mobil Producing Nigeria Unlimited to Seplat Energy Plc.
- Advising Star Deep Water Petroleum Limited, an affiliate of Chevron Nigeria Limited on its acquisition of a 40% participating interest through a farm-out by TotalEnergies EP Nigeria Limited (TEPNG) from TEPNG’s 80% contractor interest under a production sharing contract relating to PPL 2000 and PPL 2001, involving NNPCL as concessionaire and South Atlantic Petroleum (Deep Offshore) Limited.
- Advising UTM Offshore Limited and UTM FLNG LTD on the ongoing development and financing of a floating liquified natural gas facility in Nigeria. Advised on the most appropriate project structure, licensing requirements, applicable procedures and timelines, including the drafting and negotiation of the transaction documents.
- Advising Chevron Nigeria Limited on several legal, operational and commercial issues arising out of the ongoing regulatory developments in Nigeria (post-PIA), including restructuring of operations, segregation of companies, relinquishment, assignment of interests and effect of the change of control provisions, etc.
- Advised Prime Oil & Gas Cooperatief U.A. (now Meren Oil & Gas Cooperatief U.A.) on the restructuring of Canadian listed Africa Oil Corp and BTG Pactual’s indirect interests in deep offshore assets in Nigeria through a reverse triangular merger, facilitating a groundbreaking offshore M&A transaction testing Nigeria’s recently enacted Petroleum Industry Act.
- Advised Energy& LLP on the acquisition of interests in Falcon Corporation Limited, a major gas distribution company in Nigeria.
