TEMPLARS advised First Atlantic Bank plc, a leading Ghanaian full-service commercial bank with over three decades of banking experience, on the establishment and licensing of First Atlantic Bank Liberia Limited, its inaugural banking subsidiary outside Ghana.

The mandate encompassed end-to-end legal and regulatory support for the establishment and licensing of the new banking institution, including advising on the licensing and regulatory approval process before the Central Bank of Liberia in close coordination with Liberian counsel.

Our work extended to the design and implementation of the subsidiary’s regulatory and corporate governance framework, development of key governance and operational policies, legal due diligence on local shareholders and strategic partners, structuring the board and governance architecture, and advising on the regulatory aspects of the appointment of senior management and other foundational employment and personnel matters.

The successful completion of the process culminated in the commencement of operations by First Atlantic Bank Liberia Limited in Monrovia, establishing the bank’s first international banking subsidiary and a significant platform for its continued expansion across Africa.
